River Oaks Property Owners Association Board Meeting Minutes, 29 November 2020

Attendees :  Board Members:  England, Finley, Long; Officers:  Fowler Business :  Fowler initiated an e-meeting of the Board on the afternoon of 29 November 2020. Board Actions : Fowler proposed approval of the recommendations from Underwood, sent previously to the Board members, not to assess lots that are “unbuildable,” thereby not charging nine “lots” (usually partial lots) that have previously been assessed as buildable (Altmiller, Crabtree [2 lots], Hughes, Duncan, Tindell, Wilson, Harnden, and Finley).  This proposal conforms to the precedent set earlier for “lots” owned by Patterson, House, Roberson and Stamatis.  Long moved approval of this proposal, Finley seconded and the motion carried by email vote. December 1, 2020 Dear River Oaks Property Owners Association Member: At the River Oaks Property Owners Association Annual Meeting on November 23, 2020, the three amendments to the by-laws were all approved, as follows: ·         Amendment to Change the Date of the Annual Meeting: “The annual meeting may be held on any date during the first three months of the calendar year, but must be held prior to April 1 of each year.  The Board shall determine the specific date of the annual meeting, taking into consideration the likelihood of member attendance and the readiness of records and reports necessary for the annual meeting.  Each member shall be provided with proper notice of the annual meeting as set forth in Section 4.5 of the By-Laws.” (237 in favor; 8 opposed) ·         Amendment to Increase the Annual Assessment :  The Board is proposing an increase of the annual assessment fee of $12.00 set...

River Oaks Property Owners Association Annual Meeting Minutes, 23 November 2020

Attendees :   Board Members:   Finley; Officers:   Fowler, House, Underwood, McMullen; Others:   approximately five others were in-person attendees; 245 proxy votes served to confirm the quorum needed for the meeting. Business :   Fowler called the meeting to order at 7:00pm at the Carmichael Community Center. Approval of Minutes :   The minutes of the previous meeting of the POA board (11 June 2019) were approved (moved by House, seconded by Finley). Reports :   Underwood reported on the finances of the POA and invited attendees to refer to the information found on the Facebook page and the blog for further data.    He noted that as of the end of October there was a $820 budget deficit, but a $1369 balance.   He noted that donations totaling $5376 (received in 123 separate donations) and loans totaling $2300 had helped meet our budget.   Underwood detailed that in 2019 77% of the lots had paid their assessments while in 202...

ROPOA Board Meeting Minutes, 5 November 2020

Attendees : Board Members: Finley, Long; Officers: Fowler, Underwood, McMullen Business : Fowler called the meeting to order at 5:00pm at the Club House of the Course at River Oaks. Approval of Minutes : The minutes of the previous meeting of the POA board (21 July 2020) were approved (moved by Long, seconded by Finley). Open Discussion : Fowler reported that 242 proxies had been submitted. Since the addition has 459 lots, the quorum necessary to have an official meeting is 230. Therefore, the Board is now able to call the annual meeting session. Finley then moved and Long seconded setting the annual meeting for any day between November 23 and December 3, contingent on the availability of the meeting venue. The motion carried. Fowler will contact the Carmichael Center to finalize the meeting date. Attendees :  Board Members: Finley, Long; Officers:  Fowler, Underwood; Others:  House Business :   Fowler called the meeting to order at 11:35AM at the River Oaks Clubhouse. Approval of Minutes :   The minutes of the previous meeting of the POA board (5-28-20) were approved (moved by Long, seconded by Finley). Board Actions : Fowler opened the discussion about the protocol on follow up to non-compliance with covenant policies.   He explained the background of the document being addressed and distributed the document that included revisions suggested by attorney Chris Bryant.   House and Fowler discussed the difference between the city codes and the POA covenants.   Finley suggested some revision to the language about “complaining member” and the Board agreed to address that language.   Other suggestions ensued.   Finley moved to accept the document in principle pending some emendations of language, Long seconded the motion, and it...

ROPOA Board Meeting Minutes, 28 May 2020

Attendees :  Board Members:  England, Finley, Long Officers:  Fowler, Underwood; Others:  House Business :  Fowler called the meeting to order at 12:05 p.m. at the River Oaks Clubhouse. Approval of Minutes :  The minutes of the previous meeting of the POA board (4-21-20) were approved (moved by England, seconded by Finley). Board Actions : Fowler opened the discussion of the delay in having the annual meeting which was ready to be called when the pandemic developed and restrictions were put into place.  Fowler reported that after meeting with attorney Chris Bryant, he and Long thought that it would be best to put an explanation on the blog and direct people to that information by sending out a postcard.  Fowler pointed out that the postcard can be the size of a half sheet of paper and convey more information than the smaller ones used before.  Fowler emphasized that the attorney, in compliance with the governor’s guidelines, had advised again...

Attendees :   Board Members:  England, Finley, Long Officers:  Fowler, Underwood Business :  Fowler called the meeting to order at 9:37 a.m. via Zoom. Approval of Minutes :  The minutes of the previous meeting of the POA board (3-2-20) were approved (moved by Finley, seconded by England). Board Actions : Fowler opened the discussion by noting that due to the continuing situation with the quarantine, the Board needs to wait on an annual meeting.  He then asked what and how should we communicate with the property owners given the circumstances.  Fowler noted that Ann Harrington will be posting on the Living in River Oaks FB site information about the Searcy program Big Bloomin’ Weekend.  She can also help with public announcements.  Finley said using her skills to communicate is a positive.  Fowler said that the blog is also available and can be used to help communicate with the membership.  In addition, Fowler has an email list ...

Attendees :   Board Members:  England, Finley, Long Officers:  Fowler, House, Underwood Business :  Fowler called the meeting to order at 12:05 p.m. at the conference room of Finley’s office. Approval of Minutes :  The minutes of the previous meeting of the POA board (5 February 2020) were approved (moved by England, seconded by Finley). Board Actions : Report :  Fowler opened the discussion of the draft letters prepared by Long, one to be mailed to the membership with the proxy form and one to be posted on the BlogSpot.  The consensus was that the titles of the issues should be more specific on the Proxy sheet.  Regarding the rationale for the assessment increase, the Board wants to emphasize that the adjustment is based on the need to meet the budget in 2020, projected to be $15,200.  The Board recommended putting the general details of the budget in the letter on the BlogSpot.  Similarly, the rationale for the change in the date ...

June 8, 2020 Dear River Oaks Property Owners' Association Member: The Board of the River Oaks Property Owners' Association had planned to call for the Annual Meeting on April 7, 2020.   Before communication regarding that meeting could be sent out, the coronavirus pandemic hit.   As the events unfolded, guidelines were imposed that prohibited meetings of the scope of the POA annual meeting, and our attorney has advised the Board to adhere to those guidelines. However, the Board has continued to plan and discuss how best to address the business of the POA.   Unexpected—even unprecedented—circumstances have called for unusual responses.
